Arizona Highways, by and through the State of Arizona and the Arizona Department of Transportation ("Arizona Highways"), maintains this Web site (the "Site") and provides the related services to you under the terms and conditions set forth below.

In addition to editorial content presented in Arizona Highways magazine, the goods and services offered by arizonahighways.com and shoparizonahighways.com are products and subscriptions to the magazine that can be ordered by phone, mail or through the Site.

PRIVACY POLICY
Arizona Highways is committed to your privacy and security. The entire Privacy Policy can be found here. This policy may be updated by us from time to time, so please check this page frequently.

TERMS OF USE
Please read this agreement (the "Agreement") carefully before accessing or using the Site. By accessing or using the Site, you agree to be bound by this Agreement. Arizona Highways provides the information and services on this Site to you, the user, conditioned on your acceptance without modification of the terms, conditions and notices contained herein. Your use of the Site constitutes your agreement to all such terms, conditions and notices.

The information and services offered on the Site are provided with the understanding that neither Arizona Highways, nor its editors, contributors, suppliers, customers or users, are engaged in rendering legal or other professional services or advice. Your use of the Site is subject to the additional disclaimers and caveats that may appear throughout the Site.

Arizona Highways and its agents assume no responsibility for any consequence relating directly or indirectly to any action or inaction that you take or fail to take based on the information, services or other material on this Site. While Arizona Highways strives to keep the information on this Site accurate, complete and up-to-date, Arizona Highways and its editors, contributors, or suppliers cannot guarantee, and will not be responsible for any damage or loss related to, the accuracy, completeness or timeliness of the information. It is possible that the Site could include inaccuracies or errors, and that unauthorized additions, deletions and alterations could be made to the Site. You agree to notify Arizona Highways of these problems if you discover them.

This Site contains proprietary materials, such as software, photographs, video, graphics, music, sounds or other materials, as well as trademarks, service marks, and trade dress of Arizona Highways (hereinafter, the "Proprietary Materials").

All Proprietary Materials contained on the Site are protected by law from unauthorized use. Arizona Highways owns a copyright in certain Proprietary Materials on the Site, as well as the entire contents of the Site, including public domain content, which are protected as a collective work under the U.S. copyright laws. Arizona Highways owns a copyright in the selection, coordination, arrangement and enhancement of all Site content. These rights are valid and protected in all forms, media and technologies existing now or hereafter developed.

Arizona Highways®, AZURITE™ and other logos, product and service names (the "Marks") are trademarks and service marks owned by or licensed to the State of Arizona, Arizona Department of Transportation. Without the prior written permission of Arizona Highways, you agree not to display or use in any manner the Marks.

PROHIBITED USES and COPYRIGHT INFRINGEMENT
As a condition of your use of this Site, you warrant to Arizona Highways that you will not use this Site for any purpose that is unlawful or prohibited by these terms, conditions and notices. If you violate any of these terms, your permission to use the Site automatically terminates.

You may not use the Marks or copy, modify, download, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, frame in another Web page, use on any other Web site, transfer, or sell any Proprietary Materials, information, software, lists of users, databases or other lists, products or services obtained from this Site. YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

(d) UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL Arizona Highways OR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING THE SITE AND ITS SERVICES, BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SITE AND ITS SERVICES; OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR E-MAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION, OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT LIMITED TO ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO RECORDS, PROGRAMS OR SERVICES. YOU HEREBY ACKNOWLEDGE THAT THIS PARAGRAPH SHALL APPLY TO ALL CONTENT, MERCHANDISE OR SERVICES AVAILABLE THROUGH THE SITE AND ITS SERVICES.

(e) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM Arizona Highways OR THROUGH OR FROM THE SITE OR ANY SERVICE OFFERED THERE AT SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT Arizona Highways SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF Arizona Highways HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SITE OR SERVICES; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO ON THE SITE OR THROUGH OR FROM THE SERVICE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (v) ANY OTHER MATTER RELATING TO THE SITE OR THE SERVICES.

INDEMNIFICATION
You agree to indemnify, defend and hold harmless Arizona Highways, its contributors, affiliates and suppliers from any liability, loss, claim and expense (including attorneys' reasonable fees) related to your violation of this Agreement.

LINKS TO THIRD PARTY SITES
This Site may contain hyperlinks to Web sites operated by parties other than Arizona Highways or its affiliates. Such hyperlinks are provided for your reference only. Arizona Highways does not control such Web sites, and is not responsible for their content. Inclusion of hyperlinks by Arizona Highways to such Web sites does not imply any endorsement of the material on such Web sites or any association with their operators, and you access and use such sites, including information, material, products and services therein, solely at your own risk. Furthermore, because the Arizona Highways Privacy Policy is applicable only when you are on this Site, once linked to another Web site, you should read that site's privacy policy before disclosing any personal information.

LINKS TO THIS SITE
You may not link to this Site without the advanced written authorization of Arizona Highways, which may be requested by sending an e-mail to webmaster@arizonahighways.com. Please identify in the e-mail request the Web site from which you will be linking and the reason you are requesting a link to this Site. CHANGES TO SITE
Arizona Highways, its contributors, affiliates and/or its suppliers may make improvements or changes in the information, services, products, and other materials on this Site, or terminate this Site, in whole or in part, at any time without notice. Arizona Highways may modify this Agreement at any time, and such modifications shall be effective immediately upon posting of the modified Agreement. Accordingly, you agree to review this Agreement periodically, and your continued access or use of this Site shall be deemed your acceptance of the modified Agreement.

MISCELLANEOUS
This Agreement and the resolution of any dispute related to this Agreement or this Site shall be governed by and construed in accordance with the laws of Arizona, without giving effect to any principles of conflicts of law. Failure by Arizona Highways or its affiliates to insist upon strict enforcement of any provision of this Agreement shall not be construed as a waiver of any provision or right. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this Site or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. Any legal action or proceeding between Arizona Highways, and/or its contributors or affiliates and you related to this Agreement shall be brought exclusively in a federal or state court of competent jurisdiction sitting in the State of Arizona, County of Maricopa.
